Terms and conditions

We design, build, integrate and operate commerce and AI systems. The specific deliverables, timeline and price for your project are set out in a written proposal or statement of work, which forms part of these terms.

Work begins when you accept a proposal in writing. Changes to scope are agreed in writing and may affect price and timeline.

Fees, milestones and currency are stated in the proposal. Invoices are payable within the period stated on the invoice. Late payment may pause delivery.

You provide timely access to the systems, data, accounts and people we need, and you confirm you have the right to give us that access.

You remain responsible for the accuracy of the content, prices and stock data in your systems.

On full payment you own the deliverables built specifically for you. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a licence to use them as part of the deliverables.

Each side keeps the other's non-public information confidential and uses it only to perform the engagement.

Our work often integrates with platforms operated by others. We are not responsible for their availability, pricing or policy changes, and their own terms continue to apply to you.

We perform the work with reasonable skill and care. We do not warrant uninterrupted or error-free operation.

To the extent permitted by law, our total liability for any claim is limited to the fees paid for the affected work, and neither side is liable for indirect or consequential loss.

Either side may end an engagement with written notice as set out in the proposal. You pay for work performed up to the effective date, and we hand over the deliverables produced.

These terms are governed by the laws of the Republic of Indonesia, and the courts of Jakarta have jurisdiction over any dispute.
